These Terms govern your use of the PUXELO website and the purchase of any services offered by PUXELO. Please read them carefully before using the website or placing an order.

Introduction

Welcome to PUXELO. These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client" or "you") and PUXELO ("we", "our", or "us") governing your access to and use of the PUXELO website located at puxelo.com (the "Website") and the purchase of any digital marketing services offered by PUXELO.

By visiting the Website, submitting a contact form, placing an order, purchasing a service, or otherwise engaging with PUXELO, you acknowledge that you have read, understood, and agree to be bound by these Terms and any additional policies referenced herein, including our Privacy Policy, Cookie Policy, and Refund & Cancellation Policy.

If you do not agree to these Terms, you must not use the Website or purchase any services from PUXELO.

PUXELO reserves the right to update these Terms at any time. Your continued use of the Website or services after an update constitutes your acceptance of the revised Terms.

Definitions

For the purposes of these Terms, the following definitions apply:

PUXELO
The digital marketing agency operating under the brand name PUXELO, with its principal place of business at 30 N Gould St Ste R, Sheridan, WY 82801, United States.
Client
Any individual, business, or legal entity that accesses the Website or purchases services from PUXELO.
Services
The digital marketing services offered by PUXELO, including Web Design, SEO Optimization, Technical SEO, Media Buying, Website Care & Maintenance, and Premium Marketing Packages.
Website
The PUXELO website and all its pages, accessible at puxelo.com and any associated subdomains.
Agreement
These Terms of Service together with any order confirmation, invoice, proposal, or separate written agreement between PUXELO and the Client.
Order
A request by the Client to purchase one or more Services from PUXELO, whether submitted online, by email, or through another agreed communication channel.
Fees
The amounts charged by PUXELO for the Services as displayed on the Website, communicated in a proposal or invoice, or otherwise agreed in writing between the parties.
Content
All text, images, logos, graphics, branding assets, videos, data, and other materials provided by the Client or created by PUXELO in the course of delivering the Services.

Services

PUXELO is a digital marketing agency that provides professional digital services to businesses. The Services currently offered by PUXELO include, but are not limited to:

  • Web Design: Design and development of professional websites tailored to the Client's business and branding requirements.
  • SEO Optimization: On-page and off-page search engine optimization strategies to improve the online visibility of the Client's website in search engine results pages.
  • Technical SEO: Technical auditing and optimization of website infrastructure, performance, crawlability, and indexability to support search engine discovery.
  • Media Buying: Planning, purchasing, and management of paid advertising campaigns across digital advertising platforms on behalf of the Client.
  • Website Care & Maintenance: Ongoing website management, updates, security monitoring, backups, and technical support for operational websites.
  • Premium Marketing Packages: Bundled digital marketing solutions combining two or more of the above services at a package price.

PUXELO reserves the right to modify, add, or discontinue any Service at any time. Where a Service is discontinued after an order has been placed and paid for, PUXELO will communicate with the affected Client and provide a reasonable remedy.

Service Scope

The exact scope of each Service depends on the package selected, the order submitted, the proposal or invoice accepted, or the separate written agreement reached between PUXELO and the Client. The scope defines what PUXELO is obligated to deliver and is the primary reference in any dispute about the extent of agreed work.

Unless explicitly included in the agreed scope, PUXELO is not obligated to perform work beyond what has been described and accepted. Requests for additional work that fall outside the agreed scope may be subject to a separate order, invoice, and fee.

PUXELO will use commercially reasonable efforts to deliver Services as described in the agreed scope, subject to Client cooperation, timely provision of required information and materials, and other conditions set out in these Terms.

Orders

Clients may purchase Services through the Website, by email, or through another channel agreed with PUXELO. By submitting an order, the Client confirms that they are authorised to enter into a commercial agreement, that the information they have provided is accurate, and that they accept these Terms.

An order constitutes an offer to purchase the specified Services at the stated price. PUXELO reserves the right to accept or decline any order at its reasonable discretion. An order is accepted when PUXELO sends an order confirmation, invoice, or other written acknowledgment.

Where an order is declined after payment has been received, PUXELO will refund the full amount paid without undue delay.

Pricing

Service prices are displayed on the PUXELO Website in Euros (EUR) unless otherwise stated. The prices applicable to an order are those displayed or confirmed at the time the order is placed. PUXELO reserves the right to change prices at any time, but price changes will not affect orders that have already been confirmed.

All applicable prices will be clearly presented to the Client before payment is required. PUXELO does not charge hidden fees for the Services described. However, the following additional costs may apply and are not included in PUXELO's displayed service fees:

  • Third-party advertising spend paid to external advertising platforms (e.g. Google, Meta, or other platforms) in connection with Media Buying services.
  • Domain registration or renewal fees.
  • Third-party hosting or infrastructure fees.
  • Premium fonts, stock photography, licensed software, or other third-party assets where required and agreed with the Client.
  • Any applicable taxes, duties, or levies that may apply based on the Client's location or applicable law.

Where taxes or additional charges may apply to a transaction, PUXELO will inform the Client before the order is finalised where reasonably practicable.

Payments

Payments for Services may be processed through third-party payment processors, including Stripe and PayPal, or through other payment methods agreed between PUXELO and the Client. The use of these processors does not imply endorsement, certification, or approval of PUXELO by Stripe, PayPal, or any other payment provider.

By providing payment information, the Client confirms that they are the authorised holder of the relevant payment account or card and that the billing information provided is accurate and complete. PUXELO does not store full credit or debit card numbers; card data is handled directly by the applicable payment processor under its own security standards and privacy policy.

Payment is required in full before Services commence unless PUXELO has agreed otherwise in writing. PUXELO reserves the right to suspend or withhold delivery of Services if payment is not received by the due date.

If a payment is declined or fails, PUXELO will notify the Client and may request an alternative payment method. Services will not begin until successful payment has been confirmed.

Recurring Services

Certain Services offered by PUXELO — specifically Website Care & Maintenance and certain Premium Marketing Packages — may be offered on a recurring subscription or retainer basis. Where a Service is recurring, the following terms apply:

  • Billing Frequency: The billing cycle (monthly, quarterly, or as otherwise specified) will be clearly stated at the time of purchase.
  • Renewal: Unless the Client cancels before the start of the next billing period, the Service will continue and the applicable fee will be charged for the next period.
  • Cancellation: The Client may request cancellation by emailing hello@puxelo.com before the next billing period begins. Cancellation requests received after a billing period has started will generally take effect at the end of that paid period.
  • Effect of Cancellation: Upon cancellation, PUXELO will cease the recurring Service at the end of the current paid period. The Client will retain access to the benefits of the Service until the end of that period. Refunds for a current billing period that has already started are governed by the Refund & Cancellation Policy.
  • Price Changes: PUXELO may change the price of a recurring Service. Clients on active subscriptions will be given reasonable advance notice of any price increase and may cancel if they do not wish to continue at the new price.

Refunds & Cancellation

Refunds and cancellations are governed by the separate Refund & Cancellation Policy, which forms part of this Agreement and should be read in conjunction with these Terms. Clients are encouraged to review the Refund & Cancellation Policy before placing an order.

Key points from the Refund & Cancellation Policy are summarised below for convenience; however, the full policy governs in all cases:

  • Clients may request cancellation within 7 calendar days of purchase if PUXELO has not yet started performing the Service. In this case, a full refund will normally be provided.
  • Once work has started, any applicable refund may be reduced to reflect work already completed.
  • Completed or substantially delivered Services are generally non-refundable.
  • Advertising spend paid to third-party platforms is not automatically refundable by PUXELO.
  • To request a refund or cancellation, the Client should email hello@puxelo.com.

Client Responsibilities

The successful delivery of Services depends on the Client's timely cooperation and the accuracy of the information and materials the Client provides. The Client agrees to:

  • Provide accurate, current, and complete information about their business, branding, audience, goals, and any other details required for PUXELO to perform the Services.
  • Supply all required content, branding assets, images, copy, login credentials, access to accounts, and other materials in a timely manner and in agreed formats.
  • Review and provide feedback on deliverables within any timelines agreed with PUXELO. Delays caused by the Client's failure to provide timely feedback or required materials may affect delivery timelines, and PUXELO will not be held responsible for resulting delays.
  • Ensure that any content, materials, or information provided to PUXELO does not infringe any third-party rights, including intellectual property rights, privacy rights, or applicable laws.
  • Where Media Buying services are involved, grant PUXELO appropriate access to the Client's advertising accounts and ensure that sufficient advertising budget is available and funded in accordance with campaign plans.
  • Maintain the confidentiality of any account credentials or access information shared with PUXELO and notify PUXELO immediately if any credentials are believed to have been compromised.
  • Comply with all applicable laws and regulations in connection with their business, website, and use of PUXELO's Services.

PUXELO will not be liable for any delays, substandard results, or failures that are directly attributable to the Client's failure to fulfil the above responsibilities.

SEO Disclaimer

SEO results are not guaranteed. Search engine algorithms change frequently and are controlled by third parties beyond PUXELO's control.

PUXELO provides SEO services based on current industry knowledge, technical best practices, and reasonable professional judgment. However, PUXELO makes no guarantee of any specific outcome as a result of SEO work, including but not limited to:

  • Specific rankings on Google, Bing, or any other search engine.
  • Specific increases in organic search traffic.
  • Specific quantities of leads, enquiries, sales, or revenue.
  • Any specific position in search results pages.
  • Maintaining or improving current rankings.
  • Recovery of rankings following a Google algorithm update.

SEO results depend on numerous factors outside PUXELO's control, including the level of competition in the Client's industry and location, the current technical and content condition of the Client's website, search engine algorithm changes, implementation of PUXELO's recommendations by the Client, the quality and quantity of the Client's website content, and general market conditions. Refunds are not automatically owed because a specific SEO target was not reached; please refer to the Refund & Cancellation Policy for the applicable terms.

Media Buying Disclaimer

Advertising performance is not guaranteed. Digital advertising results depend on market conditions, platform policies, and other factors outside PUXELO's control.

When PUXELO provides Media Buying services, it does so on a best-efforts basis using current industry knowledge and available data. PUXELO does not guarantee any specific advertising outcome, including but not limited to:

  • A specific Return on Ad Spend (ROAS).
  • A specific Cost Per Acquisition (CPA) or Cost Per Lead (CPL).
  • A specific number of clicks, impressions, conversions, leads, or sales.
  • Specific revenue or profit generated from advertising campaigns.
  • Continued approval of campaigns by advertising platforms.

Advertising performance is influenced by many factors that PUXELO does not control, including the Client's available advertising budget, the competitiveness of the target market and audience, the quality and relevance of the Client's landing pages and offer, creative assets, seasonality, platform algorithm changes, platform policy enforcement, and general economic conditions.

Important distinction: PUXELO's Media Buying service fee covers campaign strategy, setup, management, and optimisation. The Client's advertising spend — the funds paid directly to or pre-funded into advertising platforms such as Google Ads, Meta Ads, or similar — is entirely separate from PUXELO's service fee and is governed by the terms and policies of the respective advertising platform. PUXELO cannot refund advertising spend that has already been charged or spent by a third-party advertising platform.

Web Design

PUXELO's Web Design service covers the design and development of websites as described in the applicable package, order, or proposal. Delivery of a completed website depends on the agreed scope, the timely supply of all required materials and feedback from the Client, and the Client's cooperation throughout the project.

PUXELO will design websites based on the Client's stated requirements, brand guidelines, and any reference materials provided. Where no specific design brief is provided, PUXELO will apply reasonable professional judgment, and the Client acknowledges that subjective design preferences not communicated in advance may not be reflected in the final deliverable.

Website projects may include a defined number of revision rounds as specified in the package or agreement. Requests for revisions beyond the agreed scope may be subject to additional fees.

PUXELO does not guarantee compatibility with all browsers, devices, or hosting environments beyond what is described in the agreed scope. PUXELO is not responsible for website performance issues caused by third-party hosting providers, plugins, themes, or other software not supplied or managed by PUXELO as part of the agreed Service.

Third-Party Platforms

PUXELO's Services may involve working with, depending on, or integrating with third-party platforms and services, including but not limited to: search engines, advertising networks, social media platforms, content management systems, hosting providers, analytics tools, email service providers, payment processors, and other software or services.

PUXELO does not own, operate, or control any third-party platform and is not responsible for:

  • Changes to third-party platform features, interfaces, algorithms, or policies.
  • The availability or uptime of third-party platforms.
  • Decisions made by third-party platforms regarding account approvals, suspensions, or terminations.
  • Price changes by third-party platforms.
  • Data handling or privacy practices of third-party platforms.

Where a Service depends on a third-party platform and that platform becomes unavailable, changes its policies, or suspends the Client's account for reasons outside PUXELO's control, PUXELO will not be liable for resulting service disruptions. PUXELO will take reasonable steps to notify the Client and discuss available alternatives.

Intellectual Property

The following intellectual property ownership rules apply to all work performed by PUXELO:

Client-Owned Materials

All content, materials, logos, trademarks, brand assets, images, text, data, and other intellectual property provided by the Client to PUXELO for the purpose of delivering Services remain the exclusive property of the Client. PUXELO receives a limited, non-exclusive licence to use these materials solely to perform the agreed Services.

Agency-Created Work

Unless otherwise agreed in writing, ownership of work specifically created for the Client by PUXELO — such as custom website designs, written content, and campaign creative — transfers to the Client upon receipt of full payment for the applicable Service. Prior to full payment, all such work remains the property of PUXELO.

PUXELO Proprietary Materials

Methodologies, frameworks, processes, templates, tools, know-how, and other pre-existing intellectual property owned by PUXELO are not transferred to the Client as part of any Service. PUXELO may grant the Client a non-exclusive licence to use specific outputs, as agreed, but does not transfer ownership of underlying agency processes or tools.

Third-Party Assets

Where third-party assets — such as stock photography, licensed fonts, themes, plugins, or software — are incorporated into a deliverable, their use is subject to the applicable third-party licences. PUXELO will endeavour to source appropriately licensed assets and will inform the Client of any licence requirements that affect how those assets may be used.

Confidentiality

Both PUXELO and the Client may, during the course of their engagement, share non-public business information that is confidential in nature ("Confidential Information"). Confidential Information may include, but is not limited to, business strategies, advertising data, campaign performance figures, financial information, customer data, technical information, and pricing details.

Each party agrees to:

  • Keep the other party's Confidential Information strictly confidential.
  • Not disclose Confidential Information to third parties without the prior written consent of the disclosing party, except as required by applicable law or to employees, contractors, or service providers who have a genuine need to know and who are bound by equivalent confidentiality obligations.
  • Use Confidential Information only for the purposes of performing or receiving the Services under this Agreement.

These obligations do not apply to information that is or becomes publicly available through no breach of these Terms, that was already known to the receiving party before disclosure, or that is independently developed without reference to the Confidential Information.

Confidentiality obligations under this section survive the termination or expiry of the Agreement for a period of two (2) years.

Acceptable Use

The Client agrees not to use PUXELO's Services, Website, or any deliverables for any purpose that is unlawful, deceptive, abusive, or harmful. Prohibited uses include, but are not limited to:

  • Fraud, deception, or any activity intended to mislead consumers, businesses, or regulatory authorities.
  • Promotion, sale, or distribution of illegal products or services.
  • Copyright infringement, trademark infringement, or any other violation of intellectual property rights.
  • Distribution of malware, spyware, ransomware, phishing content, or other malicious software.
  • Advertising or marketing that violates the terms and advertising policies of the relevant platforms, including but not limited to Google Ads and Meta Ads policies.
  • Defamatory, harassing, or abusive content targeting individuals or groups.
  • Any activity that PUXELO reasonably determines to be harmful to its reputation or business interests.

PUXELO reserves the right to refuse, suspend, or terminate Services immediately if the Client engages in any prohibited activity, without liability to the Client for any resulting loss.

Suspension & Termination

PUXELO reserves the right to suspend or terminate the provision of Services to a Client in the following circumstances:

  • Non-Payment: The Client fails to pay any undisputed invoice by the due date and does not remedy the failure within 5 business days of written notice from PUXELO.
  • Material Breach: The Client materially breaches any provision of these Terms and either the breach is not capable of remedy, or the Client fails to remedy the breach within 14 days of written notice from PUXELO.
  • Acceptable Use Violation: The Client uses PUXELO's Services for any prohibited purpose described in Section 17.
  • Fraudulent Activity: PUXELO has reasonable grounds to believe that the Client has engaged in fraudulent, deceptive, or illegal activity in connection with the Services.
  • Legal Requirement: PUXELO is required to suspend or terminate services by applicable law, a court order, or a regulatory authority.

Either party may terminate the Agreement by providing reasonable written notice if the other party becomes insolvent, enters bankruptcy or administration proceedings, or ceases to conduct business in the ordinary course.

Upon termination, outstanding fees for work already performed or in progress become immediately due. PUXELO will provide the Client with all deliverables and work product completed up to the point of termination upon receipt of full payment of outstanding amounts.

Limitation of Liability

To the maximum extent permitted by applicable law, PUXELO's total liability to the Client for any claim arising out of or in connection with these Terms or the Services — whether in contract, tort (including negligence), breach of statutory duty, or otherwise — will not exceed the total Fees paid by the Client to PUXELO in the three (3) months immediately preceding the event giving rise to the claim.

To the maximum extent permitted by applicable law, PUXELO will not be liable for:

  • Any indirect, incidental, special, consequential, or punitive damages.
  • Loss of profits, revenue, data, business, goodwill, or anticipated savings.
  • Business interruption or loss of opportunity.
  • Losses arising from the Client's failure to fulfil the Client Responsibilities described in Section 10.
  • Losses arising from third-party platform decisions, algorithm changes, policy changes, or outages.
  • Losses arising from Force Majeure events, including natural disasters, pandemics, cyberattacks, governmental actions, or other events beyond PUXELO's reasonable control.

Nothing in these Terms is intended to exclude or limit liability in a way that cannot be lawfully excluded, including liability for fraud, fraudulent misrepresentation, or death or personal injury caused by negligence.

No Professional Advice

PUXELO provides digital marketing services. Nothing on the PUXELO Website or in the Services constitutes, and should not be relied upon as, legal advice, financial advice, tax advice, investment advice, accounting advice, medical advice, or any other form of regulated professional advice.

Clients should seek independent qualified professional advice in those areas when needed. PUXELO accepts no liability for decisions made by the Client in reliance on information, opinions, or recommendations provided by PUXELO in connection with the Services.

Changes to These Terms

PUXELO may update these Terms of Service from time to time to reflect changes in the Services, business practices, applicable law, or for other legitimate reasons. The updated Terms will be posted on this page with a revised "Last Updated" date.

For material changes that affect existing Clients with active Services, PUXELO will take reasonable steps to provide advance notice, such as by email or a prominent notice on the Website. Your continued use of the Website or Services after an update is effective constitutes your acceptance of the revised Terms.

If you do not agree with any updated Terms, you may stop using the Website and, where applicable, request cancellation of active Services in accordance with the Refund & Cancellation Policy.

Governing Law & Jurisdiction

These Terms of Service and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims) are governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law principles.

The parties agree to first attempt to resolve any dispute arising from these Terms through good-faith negotiation by contacting PUXELO at hello@puxelo.com. If the parties are unable to resolve a dispute through negotiation within a reasonable time, either party may pursue the dispute through the courts or other dispute resolution mechanisms available under applicable law.

Nothing in this section prevents either party from seeking urgent injunctive or other equitable relief from a court of competent jurisdiction where necessary to prevent irreparable harm.

Depending on the Client's country of residence and applicable consumer protection laws, mandatory local legal rights may apply regardless of this governing law clause. PUXELO does not seek to override mandatory consumer rights that cannot lawfully be excluded.
